Corporate Associate (AM Law 100)
Working Environment:
3-4 days in office
Role:
You will focus on venture capital transactions, mergers and acquisitions, and general corporate matters for clients in the technology, life sciences, and other innovative industries.
Responsibilities:
- Transactional Support: Draft, review, and negotiate a wide range of legal documents, including term sheets, stock purchase agreements, investor rights agreements, convertible note agreements, and other financing-related contracts.
- Due Diligence: Conduct and coordinate due diligence for venture capital investments, acquisitions, and exits, identifying risks and advising clients accordingly.
- Corporate Governance: Advise clients on corporate structuring, equity ownership, board matters, and compliance with federal and state securities laws.
- Fund Formation: Assist in the formation of venture capital and private equity funds, including drafting partnership agreements, offering memoranda, and subscription documents.
Qualifications:
- Juris Doctor (JD) from an accredited law school; admission to the state bar (or eligibility to waive in).
- 2+ years of experience in corporate law, with a focus on venture capital, private equity, or startup representation preferred. Experience at a law firm or in-house at a VC-backed company is a plus.
Compensation:
$250-390k + bonus
